How do you prepare a change of IND sponsor?
Identify the former and receiving sponsors, IND and effective handoff, then coordinate their records and current Form 1571 information with the responsible FDA division. Verify continuity of safety, monitoring, investigators, records and reference access. A sponsor-change letter documents the transaction; it cannot substitute for the receiving sponsor’s ability to perform its responsibilities.
Before you begin
Change of sponsor for an existing human-drug or biologic IND. Confirm the receiving division’s process; NDA ownership rules are not an IND transfer regulation.
What you will prepare: A coordinated sponsor-change submission and responsibility handoff supported by actual transfer records.
Establish who will actually sponsor the investigation
The IND sponsor takes responsibility for and initiates the investigation. Supplying the investigational drug alone does not make a company the sponsor. Confirm the existing sponsor, proposed sponsor, IND number, product, effective transfer date and authority for the transaction. Do not use a new contact’s details as evidence that sponsorship changed.
Part 312 §312.50 describes sponsor responsibilities that must continue through the handoff. Identify who monitors studies, maintains the IND, receives safety information and communicates with investigators. These duties cannot be allowed to disappear between commercial closing and administrative processing. A CRO transfer under §312.52 is a separate scoped delegation.
Prepare coordinated former- and new-sponsor records
Recommended preparation packet: a former-sponsor statement identifying the IND and transaction; a new-sponsor acceptance identifying the effective date and responsible organization; updated Form 1571 information; a records-transfer index; and a list of resulting changes requiring separate amendments. Confirm execution and sequencing with the regulatory project manager for the actual IND. This packet is an editorial coordination method, not a quotation of a universal transfer regulation.
Review the Form 1571 sponsor, address, contact, monitor and safety-review responsibility entries against the receiving organization. The new sponsor should know which clinical holds, commitments, annual-report periods and unanswered FDA questions remain open. A transfer does not erase a hold or resolve a deficiency.
Reconcile records, investigators and reference rights
Use an internal handoff table: controlled record; current custodian; receiving custodian; version/cutoff; open action; access verified. Include protocols and amendments, investigator information, safety reporting, drug accountability, CMC source access and prior FDA correspondence. Determine separately whether third-party rights of reference cover the new entity.
Fictional exercise: the buyer has the latest protocol but no access to the safety database or a supplier’s reference authorization. The sponsor-change letter cannot truthfully imply a complete operational handoff. Assign those gaps before finalizing the acceptance and continuity plan. If the business transaction only replaces a CRO, return to the obligations guide instead of declaring a new sponsor.
Demonstrate that the receiving sponsor can act on the first day
A file inventory shows what was delivered; a continuity record shows whether the receiving team can use it. Build both, and reconcile them before describing the handoff as complete.

For each row, record the former and receiving owner, version or cutoff, access check, outstanding action and transition arrangement. An exported folder without a named custodian is an incomplete handoff. Preserve the original dates of open obligations in the receiving tracker rather than resetting them to the business closing date.
Cutover exercise: an unresolved safety follow-up reaches the former sponsor after the agreed transition. Trace how it reaches the responsible receiving person, who evaluates it and who records the next action. If both teams assume the other owns the mailbox, correct the arrangement before relying on it. This rehearsal tests the operational plan; it is not an additional FDA-prescribed form.
The 1571 instructions inspected October 6, 2026 carry a 6/24 revision. Use the Form 1571 guide to reconcile current field labels and responsible people. Where a CRO continues providing services, review its written obligations allocation separately. Where supplier evidence is referenced, verify the scope of the DMF authorization for the actual relying party.

Frequently asked questions
Does supplying the investigational drug make a company the IND sponsor?
Not by itself. The Form 1571 instructions distinguish supplying drug from taking responsibility for and initiating the investigation. Confirm the actual sponsor and who submits the IND; a supply arrangement or product purchase alone does not resolve sponsorship.
Does an IND sponsor change remove a clinical hold or outstanding FDA request?
No. Do not treat a new sponsor’s identity as evidence that an open regulatory matter has been resolved. Carry the hold, question or commitment into the receiving team’s records and establish the actual response or agency action needed under the IND’s circumstances.
Is the NDA ownership-transfer rule a complete checklist for an IND transfer?
No. Section 314.72 addresses marketing-application ownership, while an IND sits within a different regulatory framework. Confirm the receiving division’s process for the IND and coordinate the sponsorship handoff. The recommended packet in this guide is an editorial preparation method, not a universal transfer regulation.
Is possession of the latest protocol enough to confirm a sponsor handoff?
No. Sponsor responsibilities extend beyond the protocol to oversight, safety communication and maintaining the IND. Review the relevant records and access needed for those duties, including unresolved actions. The working continuity table helps identify gaps that a simple protocol delivery receipt would miss.
